ALLGEMEINE GESCHÄFTSBEDINGUNGEN UNILIN BV („der Lieferant“)
1. Vorbehaltlich einer anderslautenden schriftlichen Vereinbarung zwischen den Parteien gelten diese Allgemeinen Geschäftsbedingungen für jedes Angebot, jede Offerte und jede Auftragsbestätigung des Lieferanten und für jeden Vertrag zwischen dem Kunden und dem Lieferanten. Der Lieferant kann im eigenen Ermessen beschließen, eine Bestellung des Kunden nicht anzunehmen. Nur eine ausdrückliche und schriftliche Auftragsbestätigung des Lieferanten begründet einen Vertrag zwischen den Parteien und der Kunde hat mangels einer solchen ausdrücklichen und schriftlichen Auftragsbestätigung keinerlei Anspruch auf die Lieferung der betreffenden Produkte.
2. Durch die Annahme der Auftragsbestätigung, entweder durch eine ausdrückliche schriftliche Bestätigung oder implizit durch mangelnden Einspruch des Kunden innerhalb von drei Tagen nach Eingang der Auftragsbestätigung, erklärt sich der Kunde mit dem Inhalt und der Gültigkeit dieser Allgemeinen Geschäftsbedingungen und der Sprache, in der diese verfasst sind, einverstanden und erklärt er, diese zur Kenntnis genommen zu haben und verzichtet ausdrücklich auf die Anwendung seiner eigenen Allgemeinen Geschäftsbedingungen. Abweichende Bestimmungen oder Bedingungen gelten nur dann für den Lieferanten, wenn sie vom Lieferanten ausdrücklich und schriftlich angenommen wurden. Wenn der Kunde neben der englischen Version der Allgemeinen Geschäftsbedingungen auch eine Version in einer anderen Sprache erhalten hat, wird bei Streitsachen über die Interpretation der englische Text als Originaltext gelten und Vorrang haben.
3. Der Lieferant kann die vorliegenden Allgemeinen Geschäftsbedingungen jederzeit ändern und solcherart geänderte Geschäftsbedingungen werden dreißig (30) Kalendertage nach der Mitteilung dieser neuen Version an den Kunden in Kraft treten. Die Nichtausübung eines Rechts durch den Lieferanten wird keinesfalls als Verzicht auf ein beliebiges Recht betrachtet werden können, da ein solcher Verzicht schriftlich und ausdrücklich bestätigt werden muss.
4. Die Stornierung einer bestätigten Bestellung ist nur mit der ausdrücklichen und vorhergehenden Zustimmung des Lieferanten möglich. Bei einer Stornierung hat der Lieferant stets von Rechts wegen und ohne vorhergehende Inverzugsetzung Anspruch auf eine Schadenersatzpauschale in Höhe von 25% der Bestellsumme, unvermindert dem Recht des Lieferanten, einen höheren Schadenersatz zu fordern, wenn der tatsächlich erlittene Schaden höher ist. Wenn die Bestellung bereits produziert wurde und/oder wenn es sich um maßgefertigte Waren handelt, wird der Lieferant Anspruch auf eine Schadenersatzpauschale von 70% der Bestellsumme haben, unbeschadet des Rechts des Lieferanten, einen höheren Schadenersatz zu fordern, wenn der tatsächlich erlittenen Schaden höher ist.
5. Die Lieferung erfolgt gemäß den geltenden Incoterms, die auf der Auftragsbestätigung angegeben sind (gemäß der aktuellsten Version der von ICC festgelegten Incoterms) und gegebenenfalls vom Lieferanten an einer Zustelladresse oder vor Ort. Mangels Angabe eines Incoterms in der Auftragsbestätigung erfolgt die Lieferung Ex Works. Es unterliegt der Verantwortung des Kunden, dass sich der Lieferort in gutem Zustand befindet und als Lieferort geeignet ist. Wenn kein Verantwortlicher des Kunden an der vereinbarten Lieferadresse und/oder zum vereinbarten Zeitpunkt anwesend ist oder wenn die Lieferung unmöglich ist, hat der Lieferant das Recht, die Liefer- und Lagerkosten für diese Waren dem Kunden in Rechnung zu stellen, unbeschadet des Rechts des Lieferanten, einen höheren Schadenersatz zu fordern, wenn der tatsächlich erlittene Schaden höher ist. Lieferungen der Waren in mehreren Teilen und Toleranzen bis zu 10% der bestellten Volumen sind möglich und stellen keinen Beschwerdegrund dar. Die mitgeteilten Lieferfristen, selbst in einer Auftragsbestätigung, werden stets indikativ und in gutem Glauben angegeben, sind jedoch nicht verbindlich. Eventuelle verspätete Lieferungen verleihen dem Kunden keinen Anspruch auf Schadenersatz oder Stornierung der Bestellung.
6. Das Risiko von Verlust und Beschädigung der Waren geht gemäß den auf der Auftragsbestätigung angegebenen Incoterms oder gemäß den Incoterms, die entsprechend Artikel 5 dieser Allgemeinen Geschäftsbedingungen gültig sind, auf den Kunden über. Die gelieferten Waren bleiben bis zur vollständigen Zahlung der beliebigen fälligen Summen durch den Kunden im Eigentum des Lieferanten. Solange nicht vollständig bezahlt wurde, kann der Kunde diese nicht weiterverkaufen oder als Sicherheit verwenden. Wenn der Kunde die gelieferten Waren nicht rechtzeitig und korrekt bezahlt, kann der Lieferant unverzüglich ohne gerichtliches Einschreiben und ohne weitere Inverzugsetzung alle Waren zurückfordern. Der Kunde muss diese unverzüglich am Gesellschaftssitz des Lieferanten zur Verfügung stellen.
7. Der Kunde oder die in dessen Namen handelnde Person muss bei der Entgegennahme die Art, die Menge und den guten Zustand der Waren prüfen. Jedes Fehlen, jede Nichtkonformität im Vergleich zur Bestellung oder den Produktspezifikationen oder beliebige andere sichtbare Mängel müssen unter Androhung der Hinfälligkeit einer Rückforderung unverzüglich auf den Lieferdokumenten oder spätestens schriftlich drei (3) Werktage nach der Lieferung gemeldet werden.
Der Zustand der Waren muss vor der Installation oder Verarbeitung nochmals gründlich kontrolliert werden. Wenn der Kunde die Installation nicht selbst ausführt, wird er diese Kontrolle seinen Abnehmern oder dem Installateur auferlegen, unter der Maßgabe, dass das Fehlen einer Kontrolle oder eine mangelhafte Kontrolle durch die betreffenden Parteien stets dem Kunden angerechnet werden kann. Die Nutzung und die Verarbeitung der Waren durch den Kunden beinhalten die Annahme der Waren. Der Lieferant haftet keinesfalls für Schäden, die aufgrund der Installation von Waren mit sichtbaren Mängeln, Farbabweichungen im Vergleich zu den Katalogen, Mustern oder Marketingmaterialien des Lieferanten entstehen oder für Schäden, die auf Handlungen des Kunden oder auf die unsorgfältige Befolgung der Anweisungen des Lieferanten zurückzuführen sind.
8. Mangels diesbezüglicher Spezifikationen gilt die übliche auf dem Markt gängige Qualität. Vorbehaltlich einer ausdrücklich anderslautenden Vereinbarung zwischen den Parteien wird nicht davon ausgegangen, dass der Lieferant über die spezifische, vom Kunden beabsichtigte Anwendung Bescheid weiß oder diese berücksichtigt, und kann der Lieferant hierfür demzufolge nicht zur Haftung gezogen werden. Ausschließlich der Kunde ist für die spezifische Nutzung der erworbenen Waren und/oder die Zwecke, für die er diese Waren verwendet, verantwortlich.
9. Der Kunde muss alle Reklamationen aufgrund von verborgenen Mängeln unter Androhung der Ungültigkeit per Einschreiben melden, und zwar innerhalb von drei (3) Werktagen nach deren Feststellung und jedenfalls innerhalb von zwölf (12) Monaten nach der Lieferung. Diese Meldung muss eine detaillierte Beschreibung des Mangels enthalten. Diese Bestimmung lässt die Rechte aufgrund der eventuellen kommerziellen Garantie (gemäß den geltenden Garantiebedingungen und nur, wenn dies ausdrücklich vereinbart war) unbeschadet. Der Lieferant kann wie auch immer lediglich für Mängel an den Waren zur Haftung gezogen werden, wenn die technischen Vorschriften, Verarbeitungsvorschriften, Montageanweisungen und Wartungsrichtlinien des Lieferanten korrekt befolgt wurden.
10. Der Lieferant haftet keinesfalls, wenn Schäden verursacht werden, die nicht nur auf einen Produktmangel zurückzuführen sind, sondern auch durch einen Fehler oder eine Nachlässigkeit des Kunden oder einer Person, für die der Kunde verantwortlich ist.
Falls eine Reklamation für mangelhafte Waren rechtzeitig und im Einklang mit diesem Artikel an den Lieferanten gemeldet wurde, hat der Lieferant das Recht - im eigenen Ermessen von ihm zu entscheiden - die mit dem verborgenen Mangel behafteten Produkten zu ersetzen oder den Kaufpreis zu reduzieren oder die Ware zurückzunehmen und den Kaufpreis zurückzuerstatten, ohne dass dies einen weiteren Anlass für eine zusätzliche Entschädigung darstellen kann. Ohne die schriftliche Zustimmung des Lieferanten kann keine Rücksendung erfolgen. Diese Zustimmung ist keine Haftungsanerkennung durch den Lieferanten.
11. Eine Reklamation beliebiger Art setzt die Zahlungspflichten nicht aus und ermächtigt den Kunden nicht, die Lieferung von Waren, die nicht Gegenstand der Reklamation darstellen, abzulehnen. Außer im Fall von Vorsatz, Betrug oder Täuschung haftet der Lieferant keinesfalls für eine beliebige Form von immateriellen, indirekten oder Folgeschäden und kann nicht zur Entschädigung gegenüber dem Kunden verpflichtet sein, einschließlich aber nicht beschränkt auf Gewinnausfall, Umsatzverlust, Einkommensausfall, Produktionsverlust oder Produktionsstillstand, Verwaltungs- oder Personalkosten, eine Erhöhung der allgemeinen Kosten, entgangene Chancen, Verlust von Kunden oder beliebige Forderungen von Dritten (worunter die Kunden des Kunden). Die gesamte Haftung des Lieferanten pro Schadenfall beschränkt sich auf den Wert der mangelhaften Lieferung, außer bei Vorsatz, Betrug oder Täuschung. Die in diesem Artikel 11 aufgenommene Einschränkung und der Ausschluss der Haftung gilt ebenso bei einem schweren Fehler seitens des Lieferanten.
12. Angegebene Preise sind stets in Euro dargestellt. Transportkosten, Lagerkosten, Versicherungskosten usw. sind im Preis nicht inbegriffen, außer im Fall anderslautender Bestimmungen der geltenden Incoterms.
13. Alle Abgaben, Verbrauchssteuern, Steuern und/oder Gebühren beliebiger Art, die sich auf die gelieferten Waren oder deren Lieferung oder Transport und die gelieferten Dienstleistungen beziehen, einschließlich neuer Abgaben, Verbrauchssteuern, Steuern und/oder Gebühren, die nach dem Zustandekommen des Vertrags eingeführt oder gültig werden, fallen integral zu Lasten des Kunden, vorbehaltlich einer anderslautenden Vereinbarung zwischen den Parteien. Der Lieferant hat das Recht, alle Abgaben, Verbrauchssteuern, Steuern und/oder Gebühren an den Kunden weiter zu verrechnen.
14. Die Bestellungen werden zu den Preisen und Bedingungen fakturiert, die in der Auftragsbestätigung angegeben sind, vorbehaltlich einer anderslautenden Vereinbarung zwischen den Parteien. Der Lieferant hält sich ausdrücklich das Recht vor, den vereinbarten Preis auch nach dem Datum der Auftragsbestätigung zu erhöhen, und zwar aufgrund einer Preiserhöhung eines oder mehrerer Elemente der Produktions- oder Logistikkette und/oder im Fall einer Preiserhöhung der für die Produkte benötigten (Grund-) Stoffe, unter der Voraussetzung einer vorhergehenden Bekanntgabe an den Kunden.
15. Der Lieferant hat das Recht, die Rechnungen ausschließlich elektronisch auszustellen. Der Kunde hat das Recht, den Lieferanten schriftlich um eine ausgedruckte Rechnung zu ersuchen. Der Lieferant stellt die elektronischen Rechnungen gemäß dem Wunsch des Kunden auf einer Internetplattform des Lieferanten zur Verfügung oder sendet sie per E-Mail an den Kunden. Der Lieferant gewährleistet die Authentizität der Herkunft und die Integrität der ausgestellten elektronischen Rechnungen, sowie deren Lesbarkeit. Der Kunde akzeptiert ausdrücklich die Beweiskraft dieser Rechnungen.
Jede Rechnung ist an dem Ort, innerhalb der Frist und unter den Bedingungen zahlbar, die auf der Rechnung angegeben sind. Die angegebene Zahlungsfrist sowie auch jede kürzere Zahlungsfrist, die Anspruch auf eine Ermäßigung verleiht, hat stets das Rechnungsdatum als Bezugspunkt. Jeder Einspruch in Bezug auf eine Rechnung muss unter Androhung der Unzulässigkeit innerhalb von vierzehn (14) Tagen nach dem Rechnungsdatum an Gesellschaftssitz des Lieferanten eingehen.
Für jede Summe, die am Fälligkeitstag nicht bezahlt ist, werden von Rechts wegen und ohne vorhergehende Inverzugsetzung Verzugszinsen in Höhe des besonderen gesetzlichen Zinssatzes fällig, der im Gesetz vom 2. August 2002 über die Bekämpfung von Zahlungsrückständen im Geschäftsverkehr festgelegt ist. Darüber hinaus schuldet der Kunde gegebenenfalls unverzüglich und ohne vorhergehende Inverzugsetzung eine Schadenersatzpauschale aufgrund von außergerichtlichen Eintreibungskosten in Höhe von zehn (10) Prozent der offenen Summe, mit einem Minimum von einhundertfünfundzwanzig Euro (125 EUR) pro Rechnung, selbst wenn eine Nachfrist eingeräumt wurde, und zwar unbeschadet des Rechts des Lieferanten, einen höheren Schadenersatz zu fordern, wenn der tatsächlich erlittene Schaden höher ist.
Bei Nichtzahlung einer Rechnung am Fälligkeitstag werden alle anderen noch nicht fälligen Schuldforderungen des Lieferanten an den Kunden von Rechts wegen und ohne Inverzugsetzung einklagbar.
Wenn der Kunde seine Pflichten nicht erfüllt, einschließlich der Zahlung der Waren und Dienstleistungen, behält sich der Lieferant das Recht vor, ohne gerichtliches Einschreiten und ohne vorhergehende Inverzugsetzung die Ausführung/Produktion/Lieferung aller laufenden Bestellungen auszusetzen, oder den Vertrag ohne Schadenersatzanspruch seitens des Kunden aufzulösen, allerdings unbeschadet aller anderen Rechte, über die der Lieferant verfügt, worunter der Schadenersatzanspruch zu Lasten des Kunden.
16. Ein Schuldvergleich durch den Kunden ist ausdrücklich ausgeschlossen. Der Lieferant ist berechtigt, alle Forderungen an den Kunden oder mit dem Kunden verbundenen Gesellschaften mit beliebigen ihrerseits offenen Schulden gegenzurechnen, ungeachtet deren Art und ungeachtet der Tatsache, ob diese Schulden sicher, einklagbar oder festgelegt sind. Die vorliegende Bestimmung und diese Möglichkeit sind auch bei Insolvenz, Auflösung, gerichtlicher Reorganisation oder Konkurs seitens des Kunden gültig und Dritten gegenüber wirksam.
17. Wenn beim Lieferanten zu einem beliebigen Zeitpunkt Zweifel bezüglich der Kreditwürdigkeit des Kunden entstehen, unter anderem durch Maßnahmen einer (gerichtlichen) Vollstreckung gegen den Kunden, bei Nichtzahlung oder verzögerter Zahlung einer oder mehrere Rechnungen, im Fall einer gerichtlichen Reorganisation und/oder beliebigen anderen nachweisbaren Ereignissen, die das Vertrauen des Lieferanten in die gute Ausführung der vom Kunden eingegangenen Verpflichtungen beeinträchtigen (können), behält sich der Lieferant ausdrücklich das Recht vor, Lieferungen auszusetzen, für noch auszuführende Lieferungen eine vorhergehende Zahlung vom Kunden zu fordern und/oder (andere) Sicherheiten oder Garantien zu verlangen, selbst wenn die Waren bereits gänzlich oder teilweise versendet oder die Dienstleistungen bereits teilweise ausgeführt wurden.
18. Der Lieferant hat in folgenden Fällen das Recht, den Vertrag mit dem Kunden jederzeit mit sofortiger Wirkung und ohne vorhergehende Inverzugsetzung und ohne Zahlung eines Schadenersatzes durch den Lieferanten aufzulösen: (i) bei Zahlungseinstellung oder einem Konkurs des Kunden (bzw. einem diesbezüglichen Antrag oder Ladung), (ii) (Beschluss oder Ladung zur) Auflösung und/oder Liquidation seitens des Kunden , (iii) Einstellung der Aktivitäten des Kunden (oder eines Teils davon); (iv) (Sicherungs- oder Vollstreckung-) Pfändung der Vermögensbestandteile des Kunden (eines Teils davon) und/oder (v) wenn sich der Kunde gemäß Art. 17 weigert, eine vorhergehende Zahlung auszuführen und/oder andere vom Lieferanten verlangte Sicherheiten zu stellen.
Gegebenenfalls schuldet der Kunde stets von Rechts wegen und ohne vorhergehende Inverzugsetzung eine Schadenersatzpauschale in Höhe von zehn (10) Prozent der Bestellsumme, unbeschadet des Rechts des Lieferanten, einen höheren Schadenersatz zu fordern, wenn der tatsächlich erlittene Schaden höher ist.
19. Wenn die vom Kunden an den Lieferanten fällige Summe, d.h. die unbezahlten Rechnungen und der Wert der noch auszuführenden Bestellungen das für den Kunden vom Lieferanten oder dessen Kreditversicherer festgelegte Limit für offene Rechnungen überschreitet, hat der Lieferant das Recht, seine Verpflichtungen gegenüber dem Kunden mit sofortiger Wirkung auszusetzen, bis die vom Kunden geschuldete Summe erneut niedriger ist als das obengenannte Limit.
20. Der Kunde verpfändet alle bestehenden und zukünftigen Schuldforderungen, die er gegenüber von Dritten hat, zugunsten des Lieferanten, der dies annimmt, und zwar zur Sicherstellung des Vertrags/der Verträge, dem/denen diese Allgemeinen Geschäftsbedingungen beiliegen. Der maximale Summe, für welche die Schuldforderungen als Garantie gelten, entspricht der Hauptsumme des Vertrags/der Verträge, für die diese Allgemeinen Geschäftsbedingungen gültig sind, zuzüglich der Nebensummen wie Zinsen, Vertragsstrafen und Vollstreckungskosten. Die Verpfändung wird lediglich bis zur Höhe der am Tag der Bekanntgabe der Vollstreckung des Pfandes einklagbaren Summen ausgeführt, gemäß den Verträgen, denen diese Allgemeinen Geschäftsbedingungen beiliegen.
21. Bei höherer Gewalt seitens des Lieferanten werden die Verpflichtungen des Lieferanten gegenüber dem Kunden ausgesetzt, solange die höhere Gewalt andauert. Unter höherer Gewalt versteht man (i) die (vorhersehbaren und nicht vorhersehbaren) Umstände, wodurch die Ausführung des Vertrags gänzlich oder teilweise, vorübergehend oder dauerhaft erschwert wird oder (ii) die nachfolgend angegebenen Fälle: Krieg, Terror, Terrordrohungen, Aufruhr, Unruhen, Quarantäne, allgemeine oder teilweise Arbeitseinstellungen, Aussperrung, Brand, Betriebsunfälle, Maschinenbruch, Mangel an Transportmitteln, Mangel an Materialien und/oder Grundstoffen, Frost, Epidemien, behördliche Beschlüsse oder Interventionen, Treibstoffmangel, Energiemantel, höhere Gewalt seitens eines Lieferanten oder Subunternehmer und Fehler oder Verzögerungen, die Dritten zurechenbar sind. Wenn die höhere Gewalt länger als zwei (2) Monate andauert, hat der Lieferant das Recht, den Vertrag ohne gerichtliches Einschreiten und ohne Schadenersatzpflicht aufzulösen. Im Fall von höherer Gewalt kann der Lieferant nach eigenem Ermessen über die Zuweisung und Verteilung der verfügbaren Waren an seine Kunden urteilen und beschließen, wobei der Kunde in einer solchen Situation keinen Anspruch auf Schadenersatz seitens des Lieferanten erheben kann und auch den Vertrag nicht aus diesem Grund beenden kann.
22. Alle Urheberrechte, Markenrechte, Domänennamen, Patente und Patentanmeldungen und sonstige geistige Eigentumsrechte in Bezug auf die gelieferten Waren und Dienstleistungen ruhen beim Lieferanten und werden nicht an den Kunden übertragen oder in Lizenz vergeben. Der Kunde verpflichtet sich, nicht gegen geistige Eigentumsrechte des Lieferanten zu verstoßen noch eine andere Handlung zu setzen, durch welche die geistigen Eigentumsrechte oder deren Wert auf beliebige Weise beeinträchtigt oder negativ beeinflusst werden könnte. Der Kunde wird den Lieferanten unverzüglich informiert, wenn ihm eine (drohende) Verletzung der geistigen Eigentumsrechte des Lieferanten zur Kenntnis gelangt.
23. Der Kunde sorgt dafür, dass alle vom Lieferanten erhaltenen Daten und Informationen, von denen der Kunde weiß oder berechtigterweise wissen muss, dass diese vertraulicher Art sind (nachfolgend "Vertrauliche Informationen" genannt), geheimgehalten und ausschließlich zum Zweck der Ausführung des Vertrags verwendet werden, solange die Vertraulichen Informationen den vertraulichen Charakter behalten. Der Kunde wird die Vertraulichen Informationen nur für den Zweck verwenden, für den diese übermittelt wurden. Der Kunde erklärt, dass alle Informationen in Bezug auf die Waren und Dienstleistungen, die der Lieferant an den Kunden übermittelt (vorbehaltlich Gegenbeweis) als Vertrauliche Informationen und Betriebsgeheimnisse des Lieferanten zu betrachten sind.
24. Der Lieferant verarbeitet die personenbezogenen Daten, die er in der Ausführung des Vertrags erhält, ausschließlich in Übereinstimmung mit den Bestimmungen seiner Datenschutzrichtlinie. Die Datenschutzrichtlinie des Lieferanten ist auf der Website des Lieferanten verfügbar: http://www.unilin.com/privacy.
25. Gegebenenfalls wird der Anteil der Kosten pro Einheit, den der Lieferant für die Bewirtschaftung der Abfälle von Bauprodukten und -materialien übernimmt (Ökobeitrag), vollständig an den gewerblichen Käufer des Produkts weitergegeben, ohne dass ein Abzug möglich ist.
26. Wenn eine (vollständige oder teilweise) oder mehrere Bestimmungen dieser Allgemeinen Geschäftsbedingungen ungültig oder nicht vollstreckbar sein sollten, hat dies keinen Einfluss auf die Gültigkeit und Vollstreckbarkeit der anderen Bestimmungen oder des Teils der betreffenden Bestimmung, der nicht ungültig oder nicht vollstreckbar war. In einem solchen Fall werden die Parteien in gutem Glauben verhandeln, um die nicht vollstreckbare oder strittige Bestimmung durch eine vollstreckbare und rechtsgültige Bestimmung zu ersetzen, die der Absicht und dem Zweck der ursprünglichen Bestimmung am besten entspricht.
27. Für alle Streitsachen in Bezug auf Verträge mit dem Lieferanten, Offerten des Lieferanten und Bestellungen beim Lieferanten werden die Gerichte des Gerichtsbezirks Gent, Abteilung Kortrijk, ausschließlich zuständig sein und wird das belgische Recht, unter Ausschluss des UN-Kaufrechts vom 11. April 1980 über internationale Kaufverträge von beweglichen Gütern und des Vertrags vom 14. Juni 1974 über die Verjährung beim internationalen Warenkauf ausschließlich gültig sein. Unbeschadet der obigen Angaben kann sich der Lieferant stets dafür entscheiden, Streitsachen vor die Gerichte und Gerichtshöfe zu bringen, die für den Standort des Gesellschaftssitzes des Kunden zuständig sind.
28. Der Kunde garantiert und bürgt, dass weder der Kunde noch ein beliebiger Direktor, Geschäftsführer, Vertreter, Mitarbeiter, Angestellter oder mit dem Kunden verbundene Person eine beliebige Gesetzgebung, Regeln oder Vorschriften gegen Korruption, die für den Kunden gültig sind, übertreten hat. Unvermindert des Vorhergehenden wird weder der Kunde noch eine beliebige andere Person, die in seinem Namen auftritt: (i) Maßnahmen zur direkten oder indirekten Förderung eines Angebots, einer Zahlung, eines Zahlungsversprechens oder einer Autorisierung oder Genehmigung einer Zahlung setzen oder Geld, Waren, Geschenke oder andere Wertgegenstände direkt oder indirekt an einen Beamten übergeben, mit dem Ziel, Dinge zu bekommen oder zu behalten oder Geschäfte zu machen, für oder mit dem Lieferanten oder dem Kunden; (ii) eine Bestechung, Ermäßigung, Teilzahlung, Beeinflussung, Schmiergeld oder beliebige andere rechtswidrige Zahlung ausführen; oder (iii) geschäftliche Mittel für einen beliebigen rechtswidrigen Beitrag, ein Geschenk, eine Form der Unterhaltung oder andere rechtswidrige Ausgabe in Bezug auf eine politische Aktivität verwenden.
29. Der Kunde garantiert und bürgt dafür, dass er nicht von einer beliebigen Partei angestellt ist, in deren Namen handelt oder damit assoziiert wird, die auf einer von der EU, den US oder sonstigen Behörde erstellten Liste von Parteien, mit denen kein Handel getrieben werden darf, aufscheint, wie beispielsweise das U.S. Treasury Department Office of Foreign Assets Control's Specially Designated Nationals and Blocked Persons List, und der Kunde erklärt sich damit einverstanden, dass er keine vom Lieferanten gelieferten Waren, Dienstleistungen oder Technologien an solche Personen weiterverkaufen oder übertragen wird. Der Kunde erfüllt die geltenden von der EU oder USA auferlegten Wirtschaftssanktionen und die sonstigen geltenden Wirtschaftssanktionen, sowie auch die Gesetze und Vorschriften in Bezug auf Export.
